What are micro-entity accounts?
Micro-entity accounts are the simplified statutory accounts available to the smallest UK companies under FRS 105, requiring minimal disclosure and an abridged balance sheet. A company qualifies by staying under size thresholds covering turnover, balance sheet total and headcount, generally needing to meet most of them rather than just one.
In practice, in the UK
A micro-entity is a company small enough that Companies House and the FRS 105 standard treat detailed statutory disclosure as disproportionate to the benefit it would provide to readers of the accounts. In practice this means a much shorter balance sheet, no requirement to disclose things that most larger companies would owe stakeholders, and no obligation to file a profit and loss account publicly even though one must still be prepared for the directors and, ultimately, HMRC. Qualifying is based on meeting size thresholds, tested against the company’s own figures each year rather than fixed once at incorporation, so a growing company can pass out of the regime just as easily as it once qualified for it.
In Odoo
Odoo’s reports do not need any special configuration to support micro-entity accounts, since the underlying figures are the same regardless of which disclosure regime the company eventually files under; what changes is which parts of the output get filed publicly. The risk sits in continuity rather than in Odoo itself: a company that grows out of the micro-entity regime needs its accounts-production process, and the internal review that goes with it, to expand at the same time, rather than continuing to prepare only the minimal disclosure out of habit.
Common mistakes
- Continuing to file micro-entity accounts after the company has grown past the size thresholds.
- Assuming that not filing a profit and loss account publicly means one does not need to be prepared at all.
- Treating the micro-entity regime as a permanent classification rather than something reassessed every year.
